PROOFSTACK END USER LICENSE AGREEMENT
Effective Date: September 5, 2026
Version 2.0
PLEASE READ THIS AGREEMENT CAREFULLY. THIS AGREEMENT CONTAINS IMPORTANT DISCLAIMERS, LIMITATIONS OF LIABILITY, ASSUMPTIONS OF RISK, AND PROVISIONS THAT AFFECT YOUR LEGAL RIGHTS.
This End User License Agreement ("EULA" or "Agreement") governs your download, installation, access to, and use of the ProofStack desktop application and related software components ("Software").
This Agreement is between you ("you," "your," or "User") and the operator of the ProofStack software and services ("ProofStack," "we," "us," or "our").
ProofStack is the name under which the Software and related Services are offered. Nothing in this Agreement represents that ProofStack is currently an LLC, corporation, partnership, or other separately registered legal entity.
By:
you acknowledge that you have read, understood, and agree to be legally bound by this Agreement.
If you do not agree, you must not install, access, or use ProofStack.
This EULA should be read together with the ProofStack Terms of Service and Privacy Policy available at:
You may use ProofStack only if you are legally capable of entering into a binding agreement.
If you use ProofStack on behalf of:
you represent that you have authority to use the Software on their behalf and to access the applicable systems, repositories, accounts, files, and information.
If you install ProofStack for all users of a computer, you represent that you have authorization to install software on that computer.
You are responsible for ensuring that every person using ProofStack through your account or devices is authorized to do so.
Subject to:
ProofStack grants you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable license to download, install, access, and use the Software for lawful personal or commercial software-development purposes.
The Software is licensed, not sold.
Purchasing a subscription does not transfer ownership of ProofStack to you.
All rights not expressly granted remain reserved.
Unless otherwise stated during checkout or in applicable subscription terms, you may install ProofStack on computers that:
Windows build and SmartScreen notice. The ProofStack Windows installer may not yet be digitally signed or recognized by Microsoft Windows. Windows Defender SmartScreen may therefore display "Windows protected your PC," identify the publisher as unknown, or require you to select "More info" and "Run anyway." This is a Windows publisher-trust warning and, by itself, does not mean that the installer is a virus.
ProofStack is not designed or intended to contain viruses, malware, or other malicious code. Download ProofStack only from official ProofStack sources and use your own antivirus and security tools. ProofStack does not warrant that every download, mirror, update, or third-party copy is free from malware.
To the maximum extent permitted by applicable law, ProofStack is not responsible for damage to your computer, files, accounts, networks, or systems arising from downloading, installing, bypassing, or running the Windows build, including actions taken after a SmartScreen warning. See the Terms of Service for additional disclaimers and limitations.
Installation on a computer does not authorize you to access files, repositories, accounts, systems, credentials, networks, or services that you otherwise do not have permission to access.
Certain ProofStack functionality may require an active subscription.
Unless different pricing is clearly presented during checkout, ProofStack's standard subscription pricing is:
$20 USD per month, billed monthly after the 7-day free trial when that offer is shown at checkout.
When the free-trial offer is shown at checkout, you must provide a valid payment method to start the trial. You will not be charged the subscription fee today. Unless you cancel before the trial ends, your payment method will be charged $20 USD plus applicable taxes when the trial ends, and the Monthly Subscription will then renew monthly until canceled.
You may cancel at any time through your ProofStack account or the applicable payment provider. Canceling during the trial prevents the post-trial subscription charge, subject to applicable law and the checkout terms shown at purchase.
The subscription automatically renews monthly until canceled.
$180 USD per year, billed annually in advance.
This is equivalent to $15 USD per month when averaged across twelve months.
The Annual Subscription automatically renews annually until canceled.
ProofStack may offer:
The pricing and renewal information displayed during checkout will control the applicable transaction.
Additional subscription, cancellation, renewal, payment, and refund terms are governed by the ProofStack Terms of Service.
ProofStack retains all rights in the ProofStack Software and ProofStack-owned intellectual property, including as applicable:
Your subscription grants you permission to use ProofStack.
It does not grant ownership of ProofStack or the right to commercially redistribute the Software.
As between you and ProofStack, you retain your rights in:
These materials are referred to as "User Content."
Using ProofStack does not by itself transfer ownership of User Content to ProofStack.
You represent that you have all permissions necessary to use User Content with ProofStack.
If the information belongs to:
you are responsible for determining whether you are authorized to use it with ProofStack and any connected third-party services.
ProofStack may provide or facilitate access to:
Such systems may generate or recommend:
ARTIFICIAL INTELLIGENCE CAN MAKE MISTAKES.
Generated output may be:
You are responsible for reviewing and validating all important output.
ProofStack does not guarantee that:
You must independently review important results before relying upon them.
ProofStack may facilitate autonomous or semi-autonomous coding agents capable of taking actions on your computer, projects, repositories, development environment, or connected systems.
Depending upon the permissions and tools you authorize, an agent may be capable of:
These actions may have significant consequences.
You are responsible for deciding:
BY AUTHORIZING AN AUTOMATED OR SEMI-AUTOMATED AGENT, YOU EXPRESSLY ACKNOWLEDGE AND ACCEPT THE RISKS ASSOCIATED WITH THAT AGENT'S ACTIONS.

You are responsible for deciding:
ProofStack may allow users or connected agents to execute terminal commands.
Terminal commands can alter the operation of a computer.
Commands may:
You are responsible for determining whether commands should be executed.
ProofStack does not guarantee that commands generated by an AI system are safe or appropriate.
ProofStack may attempt to display information about what coding agents or terminals are doing.
This may include:
Activity monitoring is provided for convenience.
It is not guaranteed to constitute a complete security, compliance, forensic, or auditing system.
ProofStack does not guarantee that activity monitoring will:
ProofStack may provide remote functionality allowing an authorized paired device to interact with or monitor ProofStack running on another device.
Remote features may allow authorized users to:
You are responsible for:
ProofStack does not guarantee uninterrupted remote connectivity.
You remain responsible for decisions made using ProofStack.
Before relying upon generated or modified code, you should perform appropriate:
You are solely responsible for deciding whether to:
code or output produced through ProofStack or connected tools.
YOU ARE RESPONSIBLE FOR MAINTAINING APPROPRIATE BACKUPS OF IMPORTANT INFORMATION.
ProofStack strongly recommends using safeguards such as:
ProofStack is not a backup service.
Do not rely upon ProofStack as the only copy of important source code, repositories, files, credentials, configurations, databases, or development information.
You remain responsible for:
ProofStack does not assume responsibility for your decision to use, execute, approve, merge, deploy, publish, or distribute generated output.
ProofStack may integrate or interact with independent AI providers.
Your use of those providers may be subject to:
ProofStack does not control independent AI providers.

ProofStack may interact with independent services including:
Third-party services may change, fail, suspend access, increase pricing, remove features, or discontinue service.
ProofStack is not responsible for such third-party actions.

You are responsible for charges incurred through accounts, credentials, or services you choose to connect to ProofStack.
ProofStack is not responsible for unexpected third-party bills.
ProofStack may allow you to connect:

You must not knowingly provide stolen or unauthorized credentials.
You may use ProofStack with confidential or proprietary development information.
You are responsible for deciding whether:

Where an open-source license conflicts with this EULA regarding a specific open-source component, the applicable open-source license controls for that component.

You are responsible for:

ProofStack does not guarantee that:
You are responsible for maintaining security appropriate to your environment.
ProofStack is a software-development tool.
Information produced through ProofStack does not constitute:
When professional advice is required, consult an appropriately qualified professional.
ProofStack does not guarantee:
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PROOFSTACK AND THE SOFTWARE ARE PROVIDED "AS IS," "AS AVAILABLE," AND WITH ALL FAULTS.
TO THE MAXIMUM EXTENT LEGALLY PERMITTED, PROOFSTACK DISCLAIMS ALL EXPRESS, IMPLIED, STATUTORY, AND OTHER WARRANTIES INCLUDING WARRANTIES OF:
PROOFSTACK DOES NOT WARRANT THAT:
Certain jurisdictions may not allow some warranty exclusions.
Those exclusions apply only to the maximum extent permitted by applicable law.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PROOFSTACK AND THE PERSON OR PERSONS OPERATING PROOFSTACK, TOGETHER WITH ANY APPLICABLE EMPLOYEES, CONTRACTORS, LICENSORS, SERVICE PROVIDERS, AND SUPPLIERS, WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO THE SOFTWARE.
This includes damages involving:
This limitation applies regardless of whether a claim arises under:
This limitation applies even if ProofStack was informed that damages were possible.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF PROOFSTACK AND THE PERSON OR PERSONS OPERATING PROOFSTACK ARISING OUT OF OR RELATING TO THIS AGREEMENT, THE SOFTWARE, OR THE SERVICES WILL NOT EXCEED THE GREATER OF:
A. THE AMOUNT YOU ACTUALLY PAID DIRECTLY FOR PROOFSTACK DURING THE TWELVE MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR
B. ONE HUNDRED UNITED STATES DOLLARS ($100 USD).
Multiple claims do not increase this limit.
Nothing in this Agreement excludes liability that applicable law does not permit to be excluded.
You acknowledge that software development and automated development tools inherently involve risks.
These risks include:
You voluntarily assume risks associated with your decision to authorize ProofStack and connected development tools to interact with your projects and systems.
To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless ProofStack and the person or persons operating ProofStack, together with applicable employees, contractors, licensors, and service providers, from third-party claims, liabilities, damages, losses, judgments, expenses, and reasonable attorneys' fees arising from or relating to:
Nothing in this provision creates an indemnification obligation where applicable law prohibits one.
To the maximum extent permitted by applicable law, ProofStack is not responsible for acts or omissions attributable solely to independent:
ProofStack may suspend or terminate your access where reasonably necessary because of:
You may stop using ProofStack at any time.
When your license ends, you must stop using the portions of the Software for which your license has ended.

You may not export, distribute, provide, or use ProofStack in violation of applicable:

If ProofStack is acquired by or on behalf of the United States Government, the Software is intended to be treated as commercial computer software to the extent permitted by applicable law.
Applicable government use, duplication, disclosure, and related rights may be governed by relevant federal laws and regulations.
The dispute-resolution provisions contained in the ProofStack Terms of Service are incorporated into this Agreement by reference.

If a dispute relates to this EULA or the Software, those dispute-resolution provisions apply to the maximum extent permitted by applicable law.
Except where applicable federal law or non-waivable consumer law requires otherwise, this Agreement is governed by the laws of the:

without regard to conflict-of-law principles.
ProofStack may update this EULA as the Software changes.
Each version may contain:

Where appropriate or legally required, ProofStack may require you to affirmatively accept an updated EULA before continuing to use the Software.
ProofStack may maintain records of the version you accepted and when you accepted it.
ProofStack may later become owned or operated through:
ProofStack's rights and obligations under this Agreement may be assigned to such a successor operator to the extent permitted by applicable law.
Nothing in this Agreement represents that such a separate entity currently exists.
You may not assign or transfer this Agreement without prior consent except where applicable law provides otherwise.
ProofStack may assign its rights or obligations under this Agreement in connection with:
If any provision of this Agreement is found invalid or unenforceable, that provision will be enforced to the maximum extent legally permitted or severed where necessary.
The remaining provisions will continue in effect.
Failure to enforce a provision of this Agreement does not waive the right to enforce that provision later.
This EULA, together with applicable:
constitutes the agreement governing your license to and use of the ProofStack Software.
If applicable ProofStack agreements directly conflict:
A separately executed written agreement may expressly provide otherwise.
You agree that electronically accepting this Agreement may have the same legal effect as signing a written contract where permitted by applicable law.
